What is a “hypothec”?

Hypothecation, the pledging of something as security without delivery of title or possession (Black law 9th edition)

a.    General hypothecation, a debtor pledge to allow all the property named in the security instrument to serve as collateral and to be used to satisfy the outstanding debt.

b.    Civil Law, A type of lien or mortgage that is created by operation of law and without the parties’ express agreement.

Under Indonesian security law, a hypothec is a form of security over immovable assets in which governed by the Indonesian Civil Code (“ICC”), to be noted that a hypothec is one of the types of security having the right of priority as per stipulated under article 1133 of ICC.

Apa itu “Hipotek”?

Hipotek, penjaminan sesuatu sebagai jaminan tanpa penyerahan dari suatu hak atau kepemilikan. (Black Law 9th edition)

a.    Hipotek umum,janji debitor untuk memungkinan seluruh asetnya dinamai sebagai jaminan dan digunakan untuk pemenuhan utang yang belum terbayar.

b.    Civil Law, suatu tipe dari jaminan atau hak tanggungan yang terbentuk melalui suatu operasi hukum dan tanpa persetujuan tertulis dari para pihak.

Berdasarkan hukum jaminan Indonesia, hipotek adalah suatu hak kebendaan atas benda-benda tidak bergerak, yang diatur di dalam Kitab Undang-undang Hukum Perdata (“KUHP”), perlu dicatat juga bahwa hipotek juga merupakan suatu jaminan yang memiliki hak untuk didahulukan sebagaimana tercantum dalam pasal 1133 KUHP.

Article 1162 of ICC describes Hypotec as a property rights upon immovable property, to take as settlement of an agreement.

Hypothec is a security which used to encumbrance land and object related to land prior the enactment of the Mortgage law (law no. 4 of 1996), nowadays hypothec is mainly used as security over ships (having specification of total volume of more than 20m3).

Pasal 1162 KUHP menjelaskan hipotek sebagai suatu hak kebendaan atas benda-benda tidak bergerak untuk mengambil penggantian daripadanya bagi pelunasan suatu perikatan.

Hipotek merupakan suatu jaminan yang digunakan untuk menjaminkan tanah dan obyek terkit dengan tanah sebelum ditetapkannya Undang-undang hak tanggungan (UU No. 4 tahun 1996), sekarang ini hipotek digunakan untuk menjaminkan kapal (dengan spesifikasi volume total lebih dari 20m3)

Validity of Hypotec

The fulfillment of Hypotec as security shall refer to article 1171 of ICC which stipulates that a hypotec can only be given by an authentic deed, except in cases clearly appointed by laws. (the power to give the hypothec must be made in an authentic deed)

The said authentic deed shall fulfill the requirement as stipulated under article 1174 of ICC which is (a) particular statement regarding the encumbered property (b) including its nature and location (c) and be based on a formal measurement.

In addition, other than the abovesaid requirement, the validity of the hypothec is subject to the publicity principles as stipulated under article 1179 of ICC, which stipulates that the hypothec shall be registered in public registration.

Note that a hypothec is an accesoir security, so that in order to obtain this hypothec security right, it has to have a primary agreement (i.e. a loan agreement).

Keabsahan Hipotek

Pemenuhan Hipotek sebagai jaminan merujuk kepada Pasal 1171 dari KUHP yang mana menyatkan bahwa Hipotek hanya dapat diberikan melalui akta otentik, kecuali dalam hal-hal yang dengan tegas ditunjuk oleh undang-undang. (Kuasa untuk memberi hipotek juga harus dibuat dengan akta otentik)

Akta otentik tersebut haru memenuhi persyaratan sebgaimana ditetapkan di pasal 1174 KUHP yang mana memuat (a) penyebutan khusus mengenai benda yang dibebani (b) termasuk sifat dan letaknya (c) dan berdasarkan pengukuran(-pengukuran) resmi.

Sebagai tambahan, selain dari persyaratan sebagiamana disebut di atas, keabsahan dari hipotek tunduk pada asas publisitas yang ditetapkan di Pasal 1179 KUHP yang menyatakan bahwa hipotek harus didaftarkan di register-register umum.

Perlu dicatat bahwa suatu hipotek merupakan jaminan accesoir, yang berarti untuk mendapatkan hak jaminan hipotek ini, haruslah ada suatu perjanjian utamanya (contoh, Perjanjian hutang).

Effect of the Hypothec Registration

After the fulfillment of the principles of the hypothec, the owner of the hypothec security has a preferential right over the other creditors and an executorial right is subsist in the deed of hypothec.

Akibat dari Pendaftaran Hipotek

Setelah pemenuhan unsur-unsur dari hipotek, pemilik hak jaminan hipotek memiliki hak didahulukan dibandingkan kreditor lain dan suatu hak eksekutorial terdapat dalam akta hipotek.

Hypothec Ranking

The Ranking(degree) of the hypothec creditors is determined according to their book recording date, those who records a hypothec under the same date have the same records date.  (article 1181 of ICC and Article 315 of the Indonesian Commercial Code)

Urutan ranking hipotek

Urutan ranking dari kreditor hipotek ditentukan berdasarkan tanggal pencatatan di catatan umum, yang mencatat hipotek di tanggal yang sama memiliki tanggal pencatatan yang sama. (pasal 1181 KUHP dan 315 KUHD)
